1. Agreement to Terms

These Terms of Use ("Terms") constitute a legal agreement between you ("User," "you," or "your") and Wakili Suite ("Company," "we," "us," or "our"). By accessing, browsing, or using our website and services, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use Wakili Suite. We reserve the right to modify these Terms at any time. Your continued use of the Service following publication of changes constitutes your acceptance of the modified Terms.

2. Service Description

Wakili Suite is a comprehensive law firm management platform designed to help legal professionals manage clients, matters, documents, communications, time tracking, and billing. The Service includes web-based software and related features as described on our website.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and with no liability to you.

3. Eligibility and Account Registration

3.1 Eligibility

To use Wakili Suite, you must:

• Be at least 18 years old
• Be a legally authorized representative of your organization
• Have the right to enter into binding agreements
• Comply with all applicable laws and regulations in your jurisdiction

3.2 Account Registration

You are responsible for maintaining the confidentiality of your login credentials. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Accept full responsibility for all activities under your account
• Notify us immediately of any unauthorized access or breach
• Use a strong password and protect your login credentials

You acknowledge that you are solely responsible for all activities that occur under your account.

4. User Obligations and Acceptable Use

4.1 Permitted Use

You agree to use Wakili Suite only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their use and enjoyment of the Service.

4.2 Prohibited Conduct

You agree NOT to:

• Violate any applicable laws, regulations, or professional codes of conduct
• Engage in illegal activity or activities that could result in civil liability
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Transmit viruses, malware, or any code of destructive or malicious nature
• Reverse engineer, decompile, or attempt to discover the source code
• Scrape, spider, or use automated tools to extract data (except as authorized)
• Impersonate any person or organization
• Harass, abuse, or harm other users
• Upload, post, or transmit obscene, defamatory, or infringing content
• Violate client confidentiality or attorney-client privilege
• Share login credentials with unauthorized individuals

4.3 Professional Responsibility

As a legal services platform, users acknowledge their professional obligations including maintaining client confidentiality, protecting against conflicts of interest, and complying with rules of professional conduct in their jurisdiction.

5. Intellectual Property Rights

5.1 Company Intellectual Property

All content, features, and functionality of Wakili Suite (including but not limited to design, layout, graphics, logos, software code, and documentation) are owned by the Company, its licensors, or other providers of such content and are protected by copyright, trademark, and other intellectual property laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Wakili Suite solely for your authorized business purposes, subject to these Terms. This license does not permit you to:

• Reproduce, distribute, or display the Service or any part thereof
• Modify or create derivative works
• Sublicense the Service to third parties
• Use the Service for commercial purposes outside the scope of your agreement

5.3 User-Generated Content

You retain all ownership rights to any content you upload, create, or submit through Wakili Suite ("User Content"). However, by uploading User Content, you grant Wakili Suite a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purposes of providing the Service to you.

You represent and warrant that you own or have the rights to all User Content you submit and that such content does not violate any third-party intellectual property rights or these Terms.

5.4 Feedback

Any feedback, suggestions, or improvements you provide to Wakili Suite may be used by the Company without compensation or acknowledgment to you.

6. Limitation of Liability

6.1 Disclaimer of Warranties

WAKILI SUITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• TITLE
• QUIET ENJOYMENT

We do not warrant that the Service will be uninterrupted, error-free, secure, or virus-free, or that any defects will be corrected.

6.2 Limitation of Damages

IN NO EVENT SHALL WAKILI SUITE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6.3 Cap on Liability

EXCEPT WHERE PROHIBITED BY LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO WAKILI SUITE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

6.4 Professional Judgment

Wakili Suite is a management tool and does not provide legal advice. Users are solely responsible for making independent professional judgments. We are not liable for any legal decisions, strategy, or outcomes resulting from use of the Service.

7. Indemnification

You agree to indemnify, defend, and hold harmless Wakili Suite and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use of or misuse of the Service
• Violation of these Terms
• Violation of any applicable laws or regulations
• Infringement of third-party rights
• User Content you upload or submit
• Your professional conduct or legal practice

8. Confidentiality and Data Security

8.1 Our Responsibility

We implement industrial-standard security measures to protect your data. However, we cannot guarantee absolute security. No method of transmission over the internet or electronic storage is completely secure.

8.2 Your Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You acknowledge that you have access to client-sensitive information and agree to comply with all applicable laws and professional rules regarding confidentiality.

8.3 Data Backup

We provide regular backups of your data. However, we recommend maintaining your own backup copies of critical information. We are not liable for any loss of data caused by your failure to maintain backups.

9. Subscription and Billing

9.1 Subscription Plans

Wakili Suite offers various subscription plans with different features and pricing. Detailed plan information is available on our pricing page or in your account settings.

9.2 Payment Terms

• Subscriptions renew automatically on the renewal date unless cancelled
• You authorize us to charge your payment method for all fees and charges
• All prices are exclusive of applicable taxes
• We reserve the right to change pricing with 30 days' notice

9.3 Billing Disputes

You must notify us of any billing errors within 30 days. We will investigate and take appropriate action. Continued use of the Service after noticing errors may be considered acceptance.

9.4 Refunds

All subscription fees are non-refundable except as required by applicable law. We may, in our sole discretion, offer refunds for unused portions of prepaid subscriptions.

10. Termination

10.1 Termination by You

You may terminate your subscription at any time by providing written notice to us or by cancelling through your account settings. Termination is effective at the end of your billing period.

10.2 Termination by Us

We may terminate or suspend your account and access to the Service, with or without notice and without liability, if:

• You violate these Terms
• You engage in illegal or prohibited conduct
• You fail to pay required fees
• We cease operations or your subscription plan is discontinued

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your Account data after a 30-day notice period, except as required by law. You remain responsible for all charges incurred prior to termination.

11. Limitation of Service

Wakili Suite is a digital management tool designed to assist legal professionals. It is NOT:

• A provider of legal advice
• An alternative to professional judgment
• A substitute for compliance with professional rules and regulations
• Insurance against malpractice or professional liability

Users remain solely responsible for all legal decisions, strategy, client relationships, and professional conduct.

12. Third-Party Content and Integrations

Wakili Suite may contain links to third-party websites, services, and content. We are not responsible for the availability, accuracy, or content of such third-party materials. Your use of third-party services is governed by their respective terms and privacy policies.

13. Suspension or Termination of Service

We may suspend or terminate the Service or any portion thereof at any time, with or without notice, for any reason, including but not limited to:

• Scheduled maintenance
• Emergency situations
• Business decisions
• Regulatory requirements

We are not liable for any damages, losses, or inconvenience resulting from suspension or termination of the Service.

14. Compliance with Laws

You agree to comply with all applicable laws, regulations, and professional rules in your jurisdiction. This includes but is not limited to:

• Rules of Professional Conduct
• Data protection and privacy laws
• Anti-money laundering regulations
• Export control and sanctions regulations
• Cybersecurity and data breach notification laws

Wakili Suite is not available in certain jurisdictions restricted by export control laws. Do not access Wakili Suite if you are in a restricted jurisdiction or if you are subject to sanctions.

15. African Legal Compliance

15.1 Professional Conduct

Users operating in African jurisdictions must comply with local bar association rules, law society regulations, and professional codes of conduct specific to their country:

• Tanzania: Tanzania Law Society Code of Conduct
• Kenya: Law Society of Kenya Professional Standards
• Nigeria: Nigerian Bar Association Rules of Professional Conduct
• South Africa: Law Society of South Africa Attorneys Code
• Ghana: General Legal Council Professional Rules
• Uganda: Uganda Law Society Rules

15.2 Client Data Protection

In addition to global data protection standards, you agree to comply with African-specific data protection regulations:

• Tanzania: Data Protection Act compliance, including mandatory TCRA notification
• Kenya: Data Protection Act 2019 and PDPA requirements
• Nigeria: NDPR compliance and NITDA notification requirements
• South Africa: POPIA compliance including PRA registration
• Ghana & Uganda: Local data protection law compliance

15.3 Data Residency Obligations

You acknowledge that certain African jurisdictions require data to be stored locally. You agree to:

• Store and process client data within the specified jurisdiction where required by law
• Maintain compliance with local data residency mandates
• Ensure data transfers out of the jurisdiction comply with applicable regulations

15.4 Currency and Tax Compliance

Users in African countries agree to:

• Pay fees and maintain records in local currency as invoiced
• Comply with local tax reporting requirements (VAT, income tax, etc.)
• Maintain tax documentation as required by your country's revenue authority
• Report any tax implications of using Wakili Suite's cloud services

15.5 Anti-Corruption and Sanctions Compliance

You agree that you are not:

• Subject to sanctions by the African Union, UN, or other bodies
• Engaged in activities that violate anti-corruption laws (Kenya ACECA, Nigeria EFCC Act, Tanzania Anti-Corruption Bureau Act, South Africa PRECA)
• Involved in money laundering or terrorist financing
• Listed on any sanctions or watchlist

16. Dispute Resolution

16.1 Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us at legal@wakilisuite.com.

16.2 Binding Arbitration (Where Permitted)

To the extent permitted by applicable law, any dispute arising from these Terms or your use of Wakili Suite shall be resolved by binding arbitration. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA) or equivalent body in your jurisdiction.

16.3 Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where Wakili Suite is registered, without regard to its conflict of law provisions.

16.4 Jurisdiction and Venue

To the extent that arbitration is not binding or applicable, you agree to the exclusive jurisdiction of the courts located in the jurisdiction where Wakili Suite is registered.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Wakili Suite regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

19. Amendments and Modifications

We reserve the right to amend these Terms at any time. Significant changes will be communicated to you via email or by posting a notice on our website. Your continued use of the Service after changes become effective constitutes your acceptance of the modified Terms.
