1. Acceptance of Terms

By accessing and using Wakili Suite ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to temporarily download one copy of materials (information or software) from Wakili Suite for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title. Under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to decompile or reverse engineer any software contained on Wakili Suite
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server
• Violate any applicable laws or regulations
• Engage in unauthorized accessing, accessing without permission, or exceeding authorized access

3. User Accounts

3.1 Account Responsibility

You are responsible for maintaining the confidentiality of your account information and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account.

3.2 Account Security

We use OAuth authentication through Google to ensure secure access to your account. You are responsible for maintaining the security of your Google account.

3.3 Account Termination

We reserve the right to terminate your account and access to the Service at any time, for any reason, including violation of these terms. Upon termination:

• Your right to use the Service immediately ceases
• We may (but are not obligated to) delete your account data after 30 days
• You remain liable for any outstanding fees or charges

4. Content & Intellectual Property

4.1 Your Content

You retain all rights to content you upload to Wakili Suite. By uploading content, you grant Wakili Suite a non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for providing the Service to you and your firm members.

4.2 Wakili Suite Content

All content provided by Wakili Suite, including text, graphics, logos, software, and other materials, is the property of Wakili Suite or its content suppliers and is protected by international copyright laws.

4.3 Prohibited Content

You may not upload or share content that:

• Violates any law, regulation, or third-party rights
• Contains malware, viruses, or harmful code
• Infringes patents, trademarks, or copyrights
• Contains sensitive personal information not authorized for sharing
• Is obscene, defamatory, or harassing
• Could compromise client confidentiality or attorney-client privilege

5. Subscription & Payment

5.1 Subscription Terms

Wakili Suite offers subscription plans on a periodic basis. By subscribing, you agree to pay the subscription fee in accordance with the plan you select.

5.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the renewal fee on a recurring basis.

5.3 Billing via PesaPal

Payments are processed securely through PesaPal. Your payment information is governed by PesaPal's privacy policy and terms. Wakili Suite does not store full payment card details.

5.4 Refunds

Refunds for subscription fees are provided according to our refund policy. Generally, refunds are not provided for partial months of service. Contact support@wakilisuite.com to request a refund.

5.5 Price Changes

Wakili Suite reserves the right to modify subscription prices. Changes will be made with 30 days' notice, and you may cancel before the new price takes effect.

6. Disclaimers

THIS SERVICE IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. WAKILI SUITE MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Wakili Suite does not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service will be compatible with any particular device or software.

7. Limitation of Liability

IN NO EVENT SHALL WAKILI SUITE, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES RESULTING FROM:

• Use or inability to use the Service
• Costs of substitute services
• Any products, data, or services purchased through the Service
• Loss of data or interruption of service
• Unauthorized access to your account or data breach

Your sole and exclusive remedy for dissatisfaction with the Service is to cease using the Service.

8. Indemnification

You agree to indemnify, defend, and hold harmless Wakili Suite and its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or third-party rights
• Content you upload or share
• Your use of the Service in combination with other applications or services

9. Professional Responsibility

9.1 Legal Advice Disclaimer

Wakili Suite is a practice management tool and does not provide legal advice. You remain responsible for all legal advice provided to your clients. Wakili Suite is not your attorney.

9.2 Duty of Care

You are responsible for maintaining attorney-client confidentiality and complying with your state bar's professional responsibility requirements. You agree to use Wakili Suite in compliance with all applicable rules of professional conduct and ethics.

9.3 Compliance with Laws

You are responsible for ensuring your use of Wakili Suite complies with all applicable federal, state, and local laws and regulations, including rules regarding confidentiality, data protection (GDPR, CCPA, etc.), and professional licensing.

10. Privacy & Data Protection

Your use of Wakili Suite is also governed by our Privacy Policy, which is incorporated here by reference. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.

You acknowledge that Wakili Suite processes data in compliance with applicable data protection laws, including GDPR for European users and CCPA for California residents.

11. Third-Party Links & Services

Wakili Suite may contain links to third-party websites or services that are not operated by us. We are not responsible for the content, accuracy, or practices of third-party sites. Your use of third-party services is governed by their terms and conditions.

12. Security & Data Breach

While Wakili Suite implements reasonable security measures, we cannot guarantee the absolute security of your data. In the event of a data breach or unauthorized access:

• We will notify affected users without unreasonable delay
• We will take necessary steps to secure the system
• We will comply with all applicable notification laws

13. Modifications to Service

Wakili Suite reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable for any modification, suspension, or discontinuance of the Service.

14. Dispute Resolution

14.1 Informal Resolution

Before pursuing formal action, both parties agree to attempt to resolve disputes informally by contacting each other.

14.2 Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Kenya, and you irrevocably submit to the exclusive jurisdiction of the courts located in Kenya.

14.3 Severability

If any portion of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15. Changes to These Terms

Wakili Suite may modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after modifications indicates your acceptance of the new Terms. If you do not agree to the modified Terms, your only recourse is to discontinue use of the Service.
